These Terms and Conditions ("Terms") constitute a comprehensive operational framework governing all forms of access, participation, interaction, registration, onboarding, community involvement, ecosystem coordination, technological engagement, digital participation, operational usage, internal ecosystem interaction, and related activities associated with the Vibo Coin ecosystem operated, administered, coordinated, or managed by Farmbid Africa ("the Operator").

By accessing, joining, registering for, logging into, interacting with, participating in, contributing to, or otherwise utilizing any ecosystem-related functionality, infrastructure, technology, service, feature, community structure, or participation mechanism associated with Vibo Coin, the User expressly acknowledges, represents, warrants, and agrees that the User has carefully reviewed, thoroughly understood, voluntarily accepted, and independently evaluated these Terms in full.

The User further acknowledges, understands, and accepts that participation in digital asset ecosystems, -based environments, community participation systems, ecosystem coordination mechanisms, and technology-driven participation structures may involve substantial, evolving, unpredictable, and potentially unlimited levels of operational, financial, compliance, market, liquidity, technical, cybersecurity, regulatory, and ecosystem-related risk.

The User expressly acknowledges and agrees that:

  • Participation within the ecosystem is entirely voluntary and discretionary;
  • The ecosystem may undergo modifications, upgrades, interruptions, or restructuring at any time;
  • No governmental authority guarantees ecosystem performance or continuity;
  • No guarantee exists regarding ecosystem value, liquidity, sustainability, or operational continuity;
  • No guarantee exists that rewards, participation incentives, or ecosystem utilities will continue indefinitely;
  • Digital asset values may fluctuate substantially, unpredictably, and rapidly;
  • Participation may result in partial or complete loss of value;
  • Technical failures, cybersecurity incidents, market disruptions, blockchain failures, regulatory developments, liquidity shortages, operational interruptions, or ecosystem restructuring may occur at any time without warning.

Nothing contained within these Terms, any ecosystem communication, educational material, onboarding process, presentation, whitepaper, roadmap, explanation, social media communication, promotional content, Commissioner statement, community discussion, projected illustration, estimated example, ecosystem publication, digital communication, or marketing material shall be interpreted, construed, or relied upon as constituting:

  • Legal advice;
  • Investment advice;
  • Banking services;
  • Financial advisory services;
  • Deposit-taking services;
  • Securities offerings;
  • Guaranteed profit opportunities;
  • Insurance protection;
  • Guaranteed liquidity;
  • Fiduciary obligations;
  • Guaranteed ecosystem sustainability.

Users are strongly advised to obtain independent legal, tax, accounting, financial, regulatory, and compliance advice before participating within the ecosystem.

The User expressly understands and accepts that no legal document, disclaimer, operational framework, participation agreement, or contractual structure can render any activity entirely immune from applicable laws, legal interpretation, judicial review, governmental oversight, regulatory scrutiny, or enforcement activity.

Users remain solely and entirely responsible for ensuring that participation within the ecosystem complies with laws, regulations, compliance obligations, reporting obligations, licensing requirements, tax obligations, and regulatory restrictions applicable within their country, jurisdiction, or region.

1. INTRODUCTION

These Terms govern all participation and operational interaction within the Vibo Coin ecosystem.

The ecosystem may include:

  • Digital utility participation mechanisms;
  • Community coordination structures;
  • Cloud Links;
  • Wallet systems;
  • Internal participation tools;
  • Reward structures;
  • Access Facility systems;
  • Smart contracts;
  • Technical infrastructure;
  • Community support functions;
  • Participation coordination systems;
  • Internal ecosystem transfers;
  • Administrative dashboards;
  • Communication channels;
  • Related ecosystem technologies.

By registering, accessing, joining, logging in, participating, interacting, or otherwise engaging with the ecosystem, the User irrevocably confirms that:

  • The User has read these Terms carefully;
  • The User fully understands the nature of participation;
  • Participation is voluntary;
  • Risks associated with participation have been independently evaluated;
  • The User accepts these Terms in full;
  • The User assumes all responsibility for participation decisions.

The Operator reserves unrestricted authority, subject to applicable law, to modify, revise, replace, amend, suspend, discontinue, restructure, expand, reduce, or otherwise alter any aspect of the ecosystem, including but not limited to:

  • Participation structures;
  • Reward systems;
  • Operational rules;
  • Community frameworks;
  • Technical infrastructure;
  • Withdrawal processes;
  • Access Facility conditions;
  • Eligibility criteria;
  • Verification requirements;
  • Security procedures;
  • Ecosystem utility structures.

Such modifications may occur with or without prior notice where reasonably necessary for operational, legal, technical, compliance, security, or ecosystem sustainability purposes.

Continued participation after amendments constitutes acceptance of revised Terms.

2. DEFINITIONS

For purposes of these Terms:

2.1 "Vibo Coin"

Refers to the internal digital ecosystem utility token, participation unit, coordination value representation, or operational ecosystem instrument utilized within the ecosystem.

2.2 "User"

Refers to any person, participant, member, coordinator, commissioner, administrator, community participant, or entity accessing or interacting with the ecosystem.

2.3 "Platform"

Refers collectively to all:

  • Systems;
  • Software;
  • Mobile applications;
  • Websites;
  • Databases;
  • APIs;
  • Dashboards;
  • Wallets;
  • Communication tools;
  • Blockchain infrastructure;
  • Smart contracts;
  • Cloud services;
  • Administrative systems;
  • Digital interfaces.

2.4 "Cloud Link"

Refers to a community coordination structure intended for organizational participation, support interaction, ecosystem communication, accountability coordination, and operational participation management.

2.5 "Access Facility"

Refers to the internal ecosystem participation mechanism through which eligible Users may temporarily access additional ecosystem value subject to operational rules, accountability structures, and ecosystem conditions.

2.6 "Commissioner"

Refers to a community coordinator, support administrator, or organizational participant assigned to assist with Cloud Link coordination functions.

3. NATURE OF THE ECOSYSTEM

The User expressly acknowledges, understands, represents, warrants, and irrevocably agrees that the Vibo Coin ecosystem is intended solely as a technology-driven ecosystem participation framework designed to facilitate internal ecosystem interaction, operational participation coordination, digital ecosystem utility functionality, community-based participation structures, internal participation systems, ecosystem engagement mechanisms, and related operational ecosystem activities.

The ecosystem is intended exclusively for ecosystem participation functionality and shall not be interpreted, construed, characterized, marketed, represented, promoted, relied upon, or treated as constituting any form of:

  • Banking institution;
  • Deposit-taking arrangement;
  • Savings scheme;
  • Collective investment arrangement;
  • Regulated securities offering;
  • Insurance product;
  • Pension arrangement;
  • Cooperative society;
  • SACCO structure;
  • Financial advisory service;
  • Wealth management arrangement;
  • Brokerage relationship;
  • Custodial financial service;
  • Guaranteed profit-generating mechanism;
  • Guaranteed passive income structure.

The User expressly acknowledges and accepts that Vibo Coin is intended solely as an ecosystem participation utility mechanism designed for ecosystem functionality and internal operational participation purposes.

Vibo Coin does not:

  • Represent ownership rights in Farmbid Africa;
  • Represent shareholder rights;
  • Represent partnership interests;
  • Confer voting rights associated with corporate ownership;
  • Create creditor relationships;
  • Guarantee preservation of value;
  • Guarantee ecosystem liquidity;
  • Guarantee external market demand;
  • Guarantee convertibility into fiat currency or external digital assets;
  • Guarantee operational continuity;
  • Guarantee participation rewards.

The User expressly understands and accepts that any ecosystem participation rewards, ecosystem incentives, participation calculations, ecosystem distributions, internal ecosystem allocations, participation-related acknowledgements, or ecosystem-generated participation outcomes are entirely variable, discretionary, operationally dependent, ecosystem-dependent, technologically dependent, and subject to modification, reduction, restructuring, suspension, delay, or discontinuation at any time.

The ecosystem operates within rapidly evolving technological, blockchain, operational, regulatory, cybersecurity, market, liquidity, and participation environments that may experience substantial changes without prior notice.

The User expressly acknowledges that:

  • Digital assets may lose substantial value rapidly;
  • Ecosystem participation structures may evolve over time;
  • Governmental authorities may adopt new regulations affecting ecosystem operations;
  • External market conditions may affect ecosystem functionality;
  • Blockchain infrastructure may experience vulnerabilities or disruptions;
  • Smart contract systems may contain unidentified technical limitations;
  • Participation utility may change depending on operational conditions;
  • Liquidity conditions may fluctuate unpredictably.

Nothing within the ecosystem, including but not limited to: participation explanations; ecosystem onboarding materials; community discussions; social media statements; whitepapers; educational publications; technical descriptions; roadmaps; ecosystem projections; community presentations; informational illustrations; participation examples; Commissioner explanations; marketing communications — shall constitute or create:

  • Guaranteed financial outcomes;
  • Legally enforceable expectations of profit;
  • Guaranteed ecosystem appreciation;
  • Guaranteed participation continuity;
  • Guaranteed ecosystem sustainability;
  • Guaranteed participation rights;
  • Guaranteed ecosystem accessibility.

The User further expressly acknowledges that participation decisions are made entirely independently and voluntarily based upon the User's own evaluation, judgment, discretion, and risk assessment.

The User expressly understands and agrees that ecosystem participation may involve substantial operational uncertainty, evolving participation structures, changing participation conditions, technological experimentation, ecosystem restructuring, liquidity limitations, market volatility, and unforeseen operational developments.

Participation within the ecosystem shall therefore be undertaken entirely at the User's own risk, discretion, judgment, and independent decision-making responsibility.

4. REGULATORY STATUS

Users expressly acknowledge and agree that:

  • Vibo Coin is not legal tender;
  • Vibo Coin is not issued or guaranteed by a central bank;
  • Regulatory treatment of digital assets may change;
  • Laws affecting digital assets may evolve without notice;
  • Certain jurisdictions may prohibit participation;
  • Compliance obligations differ between jurisdictions.

The Operator makes no representation that participation is lawful in every jurisdiction.

Users bear sole responsibility for determining:

  • Legal eligibility;
  • Tax obligations;
  • Regulatory obligations;
  • Reporting requirements;
  • Compliance responsibilities.

The Operator reserves authority to suspend or restrict participation where reasonably necessary for:

  • Legal risk management;
  • Compliance obligations;
  • Fraud prevention;
  • Security protection;
  • Regulatory cooperation;
  • Operational sustainability.

5. ELIGIBILITY

Participation is limited to individuals or entities capable of legally entering binding agreements.

Users confirm that they:

  • Are at least eighteen (18) years of age or older;
  • Possess legal capacity;
  • Are not prohibited from participation under applicable law;
  • Will use lawful funds only;
  • Will provide accurate information where required.

The Operator may request:

  • Identity verification;
  • Additional documentation;
  • Compliance information;
  • Participation confirmations.

Failure to cooperate may result in restriction or suspension.

6. ACCOUNT RESPONSIBILITY

Users bear sole responsibility for maintaining the security and confidentiality of:

  • Passwords;
  • Wallet credentials;
  • Recovery phrases;
  • Devices;
  • Authentication systems;
  • Access credentials.

The User accepts full responsibility for all actions occurring under their credentials.

The Operator shall not be liable for:

  • Lost credentials;
  • Forgotten passwords;
  • Unauthorized access;
  • Phishing incidents;
  • Cybersecurity attacks;
  • User negligence;
  • Incorrect transfers;
  • External wallet failures.

Blockchain-related transactions may be irreversible.

7. ECOSYSTEM PARTICIPATION REWARDS

The ecosystem may provide participation-based incentives depending on ecosystem activity, operational conditions, sustainability factors, participation structures, and internal calculations.

Indicative ecosystem participation rewards may under certain conditions reach approximately 0.4% equivalent daily.

Such figures are purely indicative and:

  • Are not guaranteed;
  • Are variable;
  • May increase or decrease;
  • May stop entirely;
  • Depend on ecosystem sustainability.

Users acknowledge that rewards do not constitute:

  • Interest;
  • Banking returns;
  • Investment income;
  • Guaranteed profits;
  • Dividend rights;
  • Securities yields.

No User is guaranteed any reward whatsoever.

8. CLOUD LINK STRUCTURE

Cloud Links are community participation and coordination structures intended for ecosystem organization and accountability support.

Cloud Links are not:

  • Banks;
  • SACCOs;
  • Investment clubs;
  • Partnerships;
  • Cooperatives;
  • Financial institutions.

Users acknowledge that Cloud Links are operational coordination mechanisms only.

Participation within a Cloud Link may involve collective accountability conditions.

9. COMMISSIONER ROLE

Commissioners function solely as ecosystem coordinators and support contacts.

Commissioners:

  • Are not financial advisors;
  • Are not licensed investment professionals;
  • Cannot guarantee ecosystem outcomes;
  • Cannot bind the Operator beyond authorized responsibilities.

Commissioners may receive variable participation incentives depending on ecosystem activity.

Such incentives are discretionary and non-guaranteed.

10. ACCESS FACILITY

10.1 Nature and Purpose of the Access Facility

The Access Facility is an internal ecosystem participation mechanism designed solely for operational ecosystem participation, coordination, temporary ecosystem value accessibility, participation continuity support, and internal ecosystem functionality.

The Access Facility is intended strictly as an ecosystem-based participation feature and shall not be interpreted, construed, represented, marketed, or relied upon as:

  • A bank loan;
  • Consumer credit;
  • A regulated lending product;
  • A savings facility;
  • A deposit-taking arrangement;
  • Financial advisory services;
  • A guaranteed liquidity mechanism;
  • An externally insured financial product.

The User expressly acknowledges and agrees that the Access Facility exists solely as an internal ecosystem participation mechanism subject entirely to ecosystem rules, participation conditions, technical limitations, operational sustainability considerations, community accountability structures, ecosystem management decisions, and operational discretion exercised by the Operator.

Nothing within the Access Facility creates or establishes:

  • Borrower-lender relationships;
  • Fiduciary obligations;
  • Guaranteed approval rights;
  • Guaranteed access rights;
  • Guaranteed continuation rights;
  • Guaranteed ecosystem value protection.

The Operator retains unrestricted operational discretion, subject to applicable law, to:

  • Modify the Access Facility;
  • Suspend the Access Facility;
  • Restrict participation eligibility;
  • Reduce access limits;
  • Introduce new conditions;
  • Delay approvals;
  • Reject participation requests;
  • Permanently discontinue the Access Facility.

10.2 Eligibility Requirements

To qualify for participation within the Access Facility, Users may be required to satisfy operational participation conditions determined by the ecosystem from time to time.

Such conditions may include, without limitation:

  • Active participation within a Cloud Link;
  • Continuous ecosystem participation;
  • Positive participation history;
  • Compliance with ecosystem rules;
  • Compliance with operational procedures;
  • Community accountability standards;
  • Verification procedures;
  • Internal ecosystem evaluation requirements.

The User acknowledges that satisfaction of eligibility conditions does not guarantee approval, access, continuation, or ecosystem participation privileges.

10.3 Access Limits and Operational Restrictions

The ecosystem may establish indicative participation limits, operational ceilings, internal participation thresholds, community accountability limits, or ecosystem-based participation caps.

Under standard operational conditions, indicative maximum participation amounts associated with the Access Facility may reach up to KES 70,000 equivalent value unless otherwise modified, restricted, reduced, expanded, suspended, or discontinued by the Operator.

The Operator reserves unrestricted authority, subject to applicable law, to:

  • Adjust participation limits;
  • Introduce additional restrictions;
  • Reduce ecosystem access amounts;
  • Introduce additional accountability conditions;
  • Delay ecosystem participation approvals;
  • Reject ecosystem participation requests.

10.4 Ecosystem Participation Costs

Participation within the Access Facility may involve ecosystem participation costs, operational participation adjustments, or internal ecosystem charges equivalent to approximately 0.6% under certain operational conditions.

Such participation-related costs:

  • Are indicative only;
  • May fluctuate;
  • May increase or decrease;
  • May be modified without prior notice;
  • Are not guaranteed to remain fixed.

The User expressly accepts that ecosystem conditions, operational sustainability considerations, liquidity conditions, technical factors, or ecosystem restructuring may affect such participation-related calculations.

10.5 Settlement Expectations and Accountability Timelines

The ecosystem may establish indicative participation accountability periods intended to support ecosystem operational continuity and community accountability structures.

Under standard operational conditions:

  • Participation amounts below KES 10,000 may be expected to be regularized within approximately thirty (30) days;
  • Participation amounts above KES 10,000 may be expected to be regularized within approximately sixty (60) days.

Such timelines are operational participation expectations only and do not constitute guaranteed contractual timelines, regulated lending repayment schedules, or legally guaranteed participation periods.

The Operator reserves unrestricted authority to:

  • Adjust participation timelines;
  • Extend participation periods;
  • Reduce participation periods;
  • Introduce additional accountability measures;
  • Suspend participation privileges;
  • Restrict ecosystem access.

10.6 Cloud Link Accountability Structure

The User expressly acknowledges and accepts that the Access Facility operates partly through collective participation accountability principles, ecosystem coordination structures, community participation expectations, and Cloud Link operational accountability systems.

Accordingly, where any User within a Cloud Link fails to fulfill ecosystem participation obligations, accountability expectations, operational conditions, or participation timelines associated with the Access Facility, the Operator may suspend, restrict, delay, reduce, or entirely revoke Access Facility privileges affecting the entire Cloud Link.

Such suspension or restriction may affect:

  • New participation approvals;
  • Existing participation privileges;
  • Access Facility eligibility;
  • Reward participation;
  • Internal ecosystem participation benefits;
  • Cloud Link ecosystem standing.

The User acknowledges and accepts that collective accountability structures constitute a fundamental operational condition of ecosystem participation and that Users voluntarily accept such conditions prior to utilizing the Access Facility.

The Operator retains unrestricted authority regarding:

  • Suspension duration;
  • Reinstatement conditions;
  • Additional accountability measures;
  • Participation restoration procedures;
  • Community eligibility determinations.

11. WITHDRAWALS

The User expressly acknowledges, understands, and agrees that all withdrawal functionality, ecosystem transfer functionality, ecosystem value accessibility mechanisms, participation conversion mechanisms, ecosystem settlement systems, internal transfer capabilities, and related participation accessibility functions remain subject entirely to ecosystem operational conditions, liquidity conditions, technical conditions, participation verification procedures, operational sustainability considerations, ecosystem management discretion, cybersecurity considerations, compliance obligations, fraud prevention procedures, and evolving participation infrastructure conditions.

The Operator does not guarantee, represent, warrant, or assure that withdrawal requests, ecosystem transfer requests, participation conversion requests, or related participation accessibility requests will:

  • Be processed immediately;
  • Be processed continuously without interruption;
  • Be processed within any specific timeframe;
  • Remain permanently available;
  • Remain free from operational delays;
  • Remain free from liquidity limitations;
  • Remain unaffected by technical interruptions.

The User expressly acknowledges and accepts that withdrawal functionality may be affected, delayed, interrupted, suspended, reduced, restricted, modified, reviewed, or discontinued as a result of:

  • Liquidity management considerations;
  • Operational sustainability assessments;
  • Technical infrastructure maintenance;
  • Blockchain congestion;
  • Smart contract limitations;
  • Cybersecurity reviews;
  • Fraud prevention procedures;
  • Compliance verification procedures;
  • Governmental actions;
  • Regulatory developments;
  • Internal ecosystem restructuring;
  • External infrastructure provider failures;
  • Market disruptions;
  • Unforeseen operational events.

The Operator reserves unrestricted operational authority, subject to applicable law, to:

  • Delay withdrawals;
  • Restrict withdrawals;
  • Suspend withdrawals temporarily or permanently;
  • Introduce additional verification requirements;
  • Require additional ecosystem participation reviews;
  • Establish or modify minimum withdrawal thresholds;
  • Establish participation limits;
  • Introduce operational processing periods;
  • Modify ecosystem settlement structures.

Nothing within these Terms shall be interpreted as creating:

  • Guaranteed withdrawal rights;
  • Guaranteed liquidity rights;
  • Guaranteed processing timelines;
  • Guaranteed convertibility;
  • Guaranteed uninterrupted accessibility;
  • Guaranteed ecosystem value realization.

The User further expressly agrees that all participation accessibility requests remain subject entirely to ecosystem operational conditions existing at the relevant time. Participation within the ecosystem therefore involves substantial liquidity, accessibility, timing, operational, technological, and market-related uncertainty. The User voluntarily accepts such risks prior to participating within the ecosystem.

12. MARKET RISKS

Digital asset markets are volatile and unpredictable.

Users acknowledge risks including:

  • Severe value fluctuations;
  • Liquidity shortages;
  • Market collapse;
  • Regulatory intervention;
  • Technological disruption;
  • Loss of ecosystem value.

Users may lose all value associated with participation.

13. DISCLAIMERS

The ecosystem is provided strictly on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, the Operator disclaims all warranties, guarantees, and representations, whether express or implied.

This includes disclaimers relating to:

  • Availability;
  • Reliability;
  • Security;
  • Profitability;
  • Market value;
  • Performance;
  • Accuracy;
  • Functionality.

Participation occurs entirely at the User's own risk.

14. LIMITATION OF LIABILITY

To the fullest, broadest, and maximum extent permitted under applicable law, the Operator, including but not limited to its affiliates, related entities, administrators, coordinators, Commissioners, officers, directors, contractors, consultants, service providers, agents, representatives, technology providers, infrastructure providers, employees, licensors, successors, assigns, and associated operational participants, shall not be liable, responsible, accountable, or otherwise obligated for any form of direct, indirect, incidental, consequential, punitive, exemplary, speculative, special, economic, regulatory, operational, technological, market-related, liquidity-related, reputational, contractual, statutory, or unforeseeable loss, liability, damage, expense, disruption, interruption, claim, penalty, enforcement action, or adverse consequence arising directly or indirectly from participation within the ecosystem.

This limitation of liability shall apply regardless of the legal theory asserted and regardless of whether the alleged liability arises from:

  • Contractual claims;
  • Tort claims;
  • Negligence claims;
  • Strict liability claims;
  • Regulatory claims;
  • Operational disputes;
  • Technology failures;
  • Blockchain disruptions;
  • Cybersecurity incidents;
  • Market volatility;
  • Participation interruptions;
  • Liquidity shortages;
  • Delayed withdrawals;
  • Account restrictions;
  • Community participation disputes;
  • Third-party failures;
  • Governmental actions;
  • Enforcement activity;
  • System outages;
  • Ecosystem restructuring;
  • Reward reductions;
  • Participation suspensions.

Without limiting the generality of the foregoing, the Operator shall not be liable for:

  • Loss of profits;
  • Loss of opportunity;
  • Loss of anticipated ecosystem participation benefits;
  • Loss of ecosystem value;
  • Loss arising from external exchange activity;
  • Loss associated with digital asset volatility;
  • Loss associated with blockchain forks;
  • Loss resulting from smart contract vulnerabilities;
  • Loss resulting from unauthorized account access;
  • Loss associated with phishing attacks;
  • Loss resulting from incorrect transfers;
  • Loss associated with network congestion;
  • Loss associated with technical infrastructure failure;
  • Loss resulting from delayed ecosystem participation functionality.

The User further expressly agrees that participation within the ecosystem occurs entirely at the User's sole discretion, responsibility, judgment, and risk.

To the fullest extent permitted by applicable law, the User irrevocably waives any right to pursue claims against the Operator arising from ordinary operational ecosystem risks, digital asset volatility, ecosystem participation structures, technical failures, market conditions, regulatory developments, or operational participation outcomes.

Where liability cannot legally be excluded under applicable law, the total aggregate liability of the Operator, regardless of legal theory or cause of action, shall be limited to the minimum amount required under applicable law.

15. NON-RELIANCE STATEMENT

Users confirm that participation decisions are based solely on independent judgment.

Users acknowledge that they have not relied upon:

  • Informal promises;
  • Social media discussions;

No statement by the Operator, Commissioners, or community members shall create legally enforceable guarantees of profits or returns.

16. ELECTRONIC CONSENT

All participation may occur electronically. By accessing or using the ecosystem, the User consents to electronic records; accepts digital communications; accepts electronic acknowledgements; and waives objections to electronic agreements where legally permissible.

17. ANTI-FRAUD AND COMPLIANCE

The Operator reserves broad authority to monitor, investigate, suspend, restrict, delay, or terminate participation for fraud prevention, compliance monitoring, risk management, security protection, identity verification, and suspicious activity review. Failure to cooperate may result in suspension.

18. SUSPENSION POWERS

The Operator may suspend or restrict accounts, rewards, withdrawals, transfers, Access Facility participation, and community privileges. Such actions may occur without prior notice where reasonably necessary.

19. INDEMNIFICATION

Users agree to indemnify and hold harmless the Operator and associated parties against claims, damages, investigations, losses, liabilities, penalties, or expenses arising from violation of these Terms, illegal conduct, fraudulent activity, or misuse of the ecosystem.

20. GOVERNING LAW

These Terms shall be interpreted in accordance with applicable operational jurisdiction laws, including the laws of Kenya where applicable.

21. FINAL RISK DISCLOSURE

Users acknowledge that digital asset participation carries substantial risk; ecosystem value may decline entirely; regulatory changes may affect operations; liquidity may disappear; technology failures may occur; rewards may stop permanently. No governmental guarantee, insurance protection, banking protection, or compensation mechanism exists. Users participate entirely at their own discretion and risk.

22. FINAL ACKNOWLEDGEMENT

By accessing, participating in, or otherwise interacting with the ecosystem, the User irrevocably confirms that: the User has carefully reviewed these Terms; participation is voluntary; no profits are guaranteed; risks have been independently evaluated; the User accepts full responsibility for participation decisions; the User accepts the possibility of partial or total loss. Continued participation constitutes full acceptance of these Terms.

23. DATA PROTECTION

The Operator may collect, obtain, receive, store, organize, structure, process, analyze, enrich, enhance, retain, transmit, and utilize User-related information in a continuous, ongoing, and operationally necessary manner for the purposes of maintaining, operating, securing, improving, and sustaining the Vibo Coin ecosystem and all associated participation structures, community systems, and internal operational frameworks.

Such information may include, without limitation, identification details, participation records, transactional activity, device information, usage behavior, communication metadata, ecosystem interaction patterns, compliance-related documentation, verification records, technical logs, system-generated identifiers, and any other information reasonably required for ecosystem functionality, operational continuity, or regulatory compliance obligations.

The User expressly acknowledges, agrees, and irrevocably consents that such information may be shared, disclosed, transferred, exchanged, or made accessible to a broad range of third-party service providers, operational partners, infrastructure vendors, compliance partners, analytics providers, identity verification entities, communication facilitators, technical support providers, cybersecurity service providers, audit participants, and other ecosystem-related collaborators, whether located within or outside the User's jurisdiction, strictly for legitimate operational purposes.

The purposes for which such sharing may occur include, but are not limited to:

  • Ensuring system functionality, uptime, and operational continuity;
  • Conducting identity verification and Know Your Customer (KYC) procedures;
  • Performing Anti-Money Laundering (AML) screening and compliance checks;
  • Detecting, preventing, investigating, and responding to fraud, abuse, or suspicious activity;
  • Supporting technical maintenance, debugging, monitoring, and system optimization;
  • Enhancing user experience, system performance, and ecosystem reliability;
  • Assisting in dispute resolution, investigations, and incident reviews;
  • Complying with lawful requests, regulatory inquiries, court orders, or governmental requirements;
  • Improving risk management, security posture, and operational resilience;
  • Supporting analytics, reporting, forecasting, and ecosystem planning activities.

The User further acknowledges that such sharing may occur on a continuous, automated, or as-needed basis and may involve cross-border transmission of data where necessary for ecosystem operations.

The User expressly understands that while reasonable safeguards may be implemented, no digital system can guarantee absolute security, and therefore participation inherently involves informational, technological, and operational risks.

By participating in the ecosystem, the User expressly and irrevocably agrees that such data processing, retention, analysis, and controlled third-party sharing is an essential condition of participation and may continue for as long as reasonably required for operational, legal, compliance, or ecosystem sustainability purposes, including after termination of participation where legally permissible.

The Operator reserves the right to update, modify, expand, or enhance data handling practices at any time to reflect operational needs, regulatory requirements, technological developments, or security improvements.

24. PRIVACY ACKNOWLEDGEMENT

Users acknowledge that electronic systems may involve cybersecurity risks and that no digital system can guarantee absolute security. Users accept risks associated with electronic participation.

25. THIRD-PARTY SERVICES

The ecosystem may interact with third-party platforms, wallets, exchanges, software providers, payment systems, or blockchain infrastructure. The Operator bears no liability for third-party failures.

26. BLOCKCHAIN RISKS

Users acknowledge risks associated with blockchain technology including delays, congestion, smart contract vulnerabilities, forks, validation failures, and network attacks.

27. SMART CONTRACT DISCLAIMER

Smart contracts may contain bugs, vulnerabilities, coding errors, exploits, or operational limitations. Users participate at their own risk.

28. LIQUIDITY DISCLAIMER

The Operator makes no guarantee that Users will be able to convert ecosystem value into external value at any time.

29. PRICE VOLATILITY

Digital assets may experience severe and unpredictable price fluctuations. Users accept all volatility risks.

30. TAX RESPONSIBILITY

Users remain solely responsible for determining and fulfilling any tax obligations arising from participation.

31. USER CONDUCT

Users shall not engage in fraud, misrepresentation, unauthorized access, illegal conduct, community abuse, or ecosystem manipulation.

32. COMMUNITY GUIDELINES

Users shall interact respectfully within Cloud Links and ecosystem communication channels.

33. NETWORK ABUSE

The Operator may restrict Users suspected of abusing ecosystem structures or attempting to manipulate participation systems.

34. KYC VERIFICATION

The Operator may require identity verification at any time.

35. AML COMPLIANCE

Users must not use the ecosystem for money laundering, terrorism financing, fraud, or unlawful financial conduct.

36. SOURCE OF FUNDS

Users confirm that all funds utilized within the ecosystem originate from lawful sources.

37. EXPORT RESTRICTIONS

Participation may be restricted within certain jurisdictions due to applicable laws.

38. SANCTIONS COMPLIANCE

Users confirm they are not participating in violation of sanctions laws applicable within relevant jurisdictions.

39. NO EMPLOYMENT RELATIONSHIP

Participation does not create employment, agency, partnership, or joint venture relationships.

40. NO FIDUCIARY DUTY

The Operator owes no fiduciary duty to Users unless expressly required under applicable law.

41. INTELLECTUAL PROPERTY

All ecosystem branding, systems, software, logos, and materials remain the property of the Operator.

42. LICENSE LIMITATIONS

Users receive only limited, revocable participation access rights.

43. TERMINATION RIGHTS

The Operator may terminate participation rights where reasonably necessary.

44. ACCOUNT CLOSURE

Users may request closure of participation accounts subject to operational conditions.

45. SURVIVAL OF OBLIGATIONS

Certain obligations survive suspension or termination.

46. WAIVER

Failure to enforce provisions shall not constitute waiver of rights.

47. ASSIGNMENT

The Operator may assign operational rights where reasonably necessary.

48. ENTIRE AGREEMENT

These Terms constitute the complete operational agreement concerning participation.

49. SEVERABILITY

Invalid provisions shall not affect remaining provisions.

50. INTERPRETATION

Headings are included for convenience only and do not affect interpretation.

51. ELECTRONIC RECORDS

Electronic records maintained by the Operator may constitute participation evidence.

Users consent to electronic notices and communications.

53. OPERATIONAL INTERRUPTIONS

The ecosystem may experience interruptions, delays, maintenance periods, or outages.

54. FORCE MAJEURE

The Operator shall not be liable for circumstances beyond reasonable control.

55. MARKET CONDITIONS

External market conditions may significantly affect ecosystem participation.

56. WITHDRAWAL RESTRICTIONS

Withdrawals may be restricted due to operational or compliance considerations.

57. ACCESS FACILITY SUSPENSION

Cloud Links may lose Access Facility privileges where obligations remain unmet.

58. REWARD MODIFICATIONS

Reward structures may be modified, reduced, suspended, or discontinued.

59. GOVERNMENT ACTIONS

Government regulations or enforcement actions may affect ecosystem operations.

60. NO INSURANCE COVERAGE

No insurance or compensation scheme protects ecosystem participation.

61. DIGITAL ASSET RISKS

Digital assets involve substantial technological and financial risk.

62. ACKNOWLEDGEMENT OF LOSS RISK

Users acknowledge the possibility of losing all ecosystem value.

63. INDEPENDENT DECISION-MAKING

Users confirm that participation decisions are made independently.

64. FINAL ACCEPTANCE

By continuing participation, the User irrevocably accepts all Terms, risks, operational conditions, ecosystem structures, and participation obligations associated with the Vibo Coin ecosystem.

Participation remains entirely voluntary and undertaken solely at the User's own risk.
