1. Platform Definition
Vibo Africa ("Vibo", "the Platform", "we", "us") is a digitally operated, technology-driven platform that exists primarily for the purpose of providing structured, organized, and systematically arranged access to information relating to third-party grant opportunities. The Platform functions as a centralized digital environment where users are able to view, search, and access listings of funding opportunities that are independently created, independently published, and independently managed by external organizations that are not owned, controlled, or operated by Vibo in any form whatsoever.
2. Nature of Service
The Platform is strictly and exclusively limited to acting as an intermediary informational and technical facilitation system. It does not operate, either directly or indirectly, as a donor, funder, lender, financial institution, credit provider, investment service provider, or grant issuing body. All funding opportunities available through the Platform originate entirely from independent third-party organizations, and Vibo has no authority, control, or influence over their operations, funding decisions, or disbursement processes.
3. Acceptance of Terms
By accessing, visiting, registering, interacting with, or otherwise using the Platform in any capacity whatsoever, the user expressly acknowledges, affirms, and agrees that they have carefully read, fully understood, and voluntarily accepted to be legally bound by these Terms and all related policies, operational conditions, and any future modifications or updates that may be introduced by Vibo from time to time.
4. Binding Agreement
These Terms constitute a legally binding, enforceable, and contractual agreement between the user and Vibo Africa. The user acknowledges that this agreement governs all forms of interaction with the Platform, and that continued usage of the Platform constitutes ongoing, unconditional, and irrevocable acceptance of all provisions contained herein.
5. Amendment Rights
Vibo retains the absolute, unrestricted, and unilateral right to modify, revise, expand, or otherwise update these Terms at any time, without the requirement of prior notice, explanation, or consent from users. It is the responsibility of the user to review such Terms periodically, and continued use of the Platform after any modifications shall be deemed full and final acceptance of the updated Terms.
6. Non-Funding Role
Vibo explicitly and unequivocally does not provide, issue, distribute, allocate, or guarantee any form of financial assistance, grant funding, donation, or monetary support. Any financial opportunities accessed through the Platform originate solely and exclusively from external third-party providers.
7. Non-Decision Role
The Platform does not, under any circumstances, participate in the evaluation, review, screening, approval, rejection, or selection of any grant applications submitted by users. All decision-making authority rests entirely with external grant providers.
8. Third-Party Dependency
All grants, funding opportunities, and related programs listed on the Platform are fully owned, operated, managed, and controlled by independent third-party organizations. Vibo has no operational, managerial, financial, or administrative involvement in these programs.
9. No Influence Clause
Vibo does not possess, exercise, or attempt to exercise any influence over donor eligibility criteria, assessment standards, evaluation frameworks, or final funding decisions. All outcomes are independently determined by third-party organizations without interference.
10. Information Accuracy
While reasonable and ongoing efforts may be made to ensure that information displayed on the Platform is accurate, updated, and reliable, Vibo does not provide any warranties or guarantees regarding completeness, correctness, timeliness, or absence of errors in any listed information.
11. Minimum Age Requirement
Users must be at least eighteen (18) years of age at the time of accessing or registering on the Platform. By using the Platform, users explicitly confirm that they meet this legal requirement.
12. Legal Capacity
Users represent and warrant that they possess full legal capacity and authority to enter into binding contractual agreements under applicable laws.
13. Residency Requirement
Users agree that they shall comply with all applicable jurisdictional laws and regulations, including but not limited to those applicable within the Republic of Kenya, unless otherwise stated by the Platform or relevant third-party providers.
14. Right of Refusal
Vibo reserves the full, absolute, and unconditional right to deny access to any user at any time, without obligation to provide justification, explanation, or prior notification.
15. Account Suspension Rights
The Platform retains the authority to restrict, suspend, limit, or deactivate user accounts at its sole discretion where there is suspected misuse, security risk, breach of Terms, or any conduct deemed harmful to Platform operations.
16. Mandatory Interview
All users are required to undergo a mandatory pre-qualification interview process prior to being granted full access to any restricted or donor-linked features of the Platform.
17. Screening Purpose
The pre-qualification interview is conducted solely for the purpose of identity verification, eligibility screening, user profiling, and assessment of general readiness to interact with third-party grant systems.
18. Non-Guarantee Clause
Completion, success, or approval in the pre-qualification interview process does not in any way guarantee access to funding opportunities, grant eligibility, or approval by any third-party organization.
19. Discretionary Approval
Vibo retains full, final, and absolute discretion in determining whether a user qualifies for access to Platform services, regardless of interview results or submitted information.
20. Re-Evaluation Rights
The Platform reserves the right to request additional verification, repeated interviews, or further assessments at any time, particularly where clarification or validation of user information is deemed necessary.
21. Migration Requirement
Access to donor-linked systems is strictly dependent upon completion of a structured migration and technical integration process that enables secure connection between user accounts and external third-party grant platforms.
22. First-Time Access Fee
A mandatory one-time access activation fee is required before any user is granted initial entry into donor-linked systems through the Platform.
23. Standard Fee
The standard migration and integration fee is Kenya Shillings Two Hundred and Fifty (Ksh 250), applicable for basic onboarding, system setup, and access activation services.
24. Enhanced Fee
An enhanced migration fee of Kenya Shillings Five Hundred and Fifty (Ksh 550) applies where additional services such as sample proposal access and extended onboarding support are provided.
25. Fee Purpose
All fees collected are strictly and exclusively allocated toward platform onboarding, system integration, technical configuration, and access activation services required for operational functionality.
26. Non-Refundability
All payments made are strictly non-refundable once any form of processing, onboarding, verification, or system activation has commenced, regardless of user outcome or usage.
27. No Funding Guarantee
Payment of any fee does not, under any circumstances, constitute or imply a guarantee of funding approval, grant selection, or successful application outcome.
28. Service Limitation
All fees charged are strictly limited to platform operational services and do not constitute financial advisory services, investment services, donation handling, or grant brokerage services.
29. Subsequent Access Fee
Following initial activation, users shall be required to pay a recurring access fee of Kenya Shillings Fifty (Ksh 50) for every individual access cycle or session within the Platform.
30. Access Cycle Definition
An access cycle refers to any single instance of login, entry, re-entry, or interaction with donor-linked systems facilitated through the Platform's infrastructure.
31. Sample Proposal Purpose
Any sample proposal provided under enhanced access is strictly intended for educational, illustrative, and informational purposes to help users understand general proposal formatting and structure.
32. Non-Official Document
The sample proposal does not represent an official, certified, verified, or donor-issued document and should not be interpreted as such under any circumstance.
33. No Acceptance Guarantee
Use of any sample proposal does not guarantee acceptance, approval, or favorable consideration by any third-party grant provider.
34. User Responsibility
Users are solely and fully responsible for reviewing, editing, adapting, and customizing all sample materials before any external submission or use.
35. Liability Exclusion
Vibo expressly disclaims all responsibility for any misuse, misunderstanding, misapplication, or incorrect submission of sample proposal materials.
36. Independent Donors
All grants available through the Platform are independently owned, operated, and controlled by third-party organizations with no ownership or governance relationship with Vibo.
37. External Control
Vibo does not control, regulate, or administer donor systems, policies, procedures, or operational frameworks.
38. Application Submission
Users are solely responsible for submitting applications to third-party grant systems through channels provided or accessed via the Platform.
39. Evaluation Independence
All application evaluations are conducted independently by third-party organizations without any input, involvement, or oversight from Vibo.
40. Outcome Responsibility
All funding decisions, including approvals, rejections, or modifications, remain entirely under the authority of third-party providers.
41. Completion of Vibo Role
Vibo's functional role is deemed fully completed once migration and access activation have been successfully executed.
42. No Post-Application Involvement
The Platform does not engage in, influence, monitor, or participate in any aspect of the application review process after submission.
43. No Donor Communication
Vibo does not act as an intermediary, representative, or communication agent between users and third-party grant providers.
44. No Tracking Obligation
The Platform has no obligation, duty, or responsibility to track, follow up, or report on application status or progress.
45. No Outcome Influence
Vibo does not, under any circumstances, influence, modify, or interfere with approval or rejection outcomes.
46. Accurate Information Requirement
Users are required to ensure that all information provided to the Platform is accurate, truthful, complete, and not misleading in any form.
47. Application Responsibility
Users bear full responsibility for preparation, submission, accuracy, and content of all grant applications submitted through third-party systems.
48. Communication Responsibility
Users are solely responsible for all communications, responses, and interactions with third-party grant providers.
49. Compliance Responsibility
Users must independently ensure compliance with all requirements, conditions, and eligibility criteria imposed by third-party organizations.
50. Outcome Acceptance
Users acknowledge that all application outcomes are determined exclusively by third parties and accept full responsibility for those outcomes.
51. Data Collection
The Platform collects necessary user data including registration details, identity information, and system usage data strictly for operational purposes.
52. Data Usage
All collected data is used solely for platform functionality, verification, system operation, and service delivery.
53. Data Sharing
User data may be shared with third-party service providers, verification partners, or grant organizations where operationally necessary.
54. Legal Disclosure
The Platform may disclose user data when required to do so under applicable law or regulatory authority.
55. As-Is Service
The Platform is provided strictly on an "as is" and "as available" basis, without warranties, guarantees, or assurances of any kind.
56. No Guarantee of Availability
Vibo does not guarantee continuous, uninterrupted, or error-free availability of Platform services.
57. No Funding Liability
The Platform bears no responsibility or liability for any funding outcomes or financial decisions made by third-party organizations.
58. Third-Party Liability Exclusion
Vibo shall not be held responsible for actions, decisions, omissions, or failures of any third-party grant providers.
59. Loss Limitation
Vibo is not liable for any indirect, incidental, consequential, or punitive damages arising from use of the Platform.
60. Fraud Prohibition
Users are strictly prohibited from engaging in fraudulent, deceptive, or misleading behavior of any kind while using the Platform.
61. System Abuse
Users must not attempt to disrupt, manipulate, exploit, or interfere with the technical systems or operational processes of the Platform.
62. Account Abuse
The creation or use of multiple fake accounts, impersonation of others, or unauthorized access attempts is strictly prohibited.
63. Suspension Rights
Vibo reserves the right to immediately suspend user access at its discretion where necessary for security, compliance, or operational reasons.
64. Termination Rights
The Platform may permanently terminate user accounts in cases of breach of Terms, fraudulent behavior, abuse, or any conduct deemed harmful to Platform integrity.
65. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya, and any disputes arising from or relating to these Terms shall fall exclusively under the jurisdiction of Kenyan courts.
66. ACCEPTANCE AND PROCEEDING AGREEMENT
By proceeding to register, access, interact with, or continue using the Vibo Grant Platform in any manner whatsoever, the user expressly, voluntarily, and irrevocably acknowledges that they have read, understood, and fully accepted these Terms and Conditions in their entirety. The user further agrees that any act of proceeding beyond the point of viewing these Terms shall constitute legally binding acceptance of all provisions contained herein, without exception, limitation, or reservation.
The user also confirms that they are acting on their own free will, have had sufficient opportunity to review these Terms, and understand that continued use of the Platform shall be interpreted as full and unconditional agreement to be bound by all rules, obligations, limitations, and conditions set out in this document.
